OBJECTIVES

Asset Management Excellence: Mastering Operations and Maintenance Model Parameters is a Vair Training Master Class taught by a successful Chief Operations Executive and a seasoned Asset Manager/legal expert. During this course, participants learn to treat the financial model as a "living" O&M tool when selecting projects and contractors, and negotiating contracts. Both debt and equity perspectives are presented and thoroughly analyzed. An O&M-specific legal-analysis component then shows how clients do not sign models, they sign the contracts that those models represent.

The ingredients of a managed O&M project (and subsequent reporting) are conveyed throughout the training to act as the building blocks for a cost-effective program. Participants are empowered to maximize shareholder value under potential risks and pitfalls such as "Force Majeure" events, operational failures, business disputes and corrupt foreign practices with an emphasis on the protection of project cash-flow streams. This course is indispensable to the effective use of financial spreadsheets for O&M Asset Management. (NB: A working knowledge of financial accounting is helpful but not essential.)

ABOUT THE INSTRUCTORS

John Weisse

John Weisse is the Managing Principal of PRO- portions, LLC, a consulting firm offering specialized contract and business development advice and targeted training to start-up and emerging enterprises.

Before founding PRO-portions in 2007, John held numerous legal and business development positions at Wartsila Corporation and Westinghouse Electric Corporation for over twenty-six years. John was the General Counsel and Vice President of Business Development for Wartsila North America. He also ran Wartsila's Power Plant Development Company in the Americas where he was responsible for asset management in Jamaica, Honduras, Mexico, Ecuador and Brazil. Prior to joining Wartsila in 1993, John held Divisions Contract Manager, Group Legal Review Manager and Development Subcontracts Manager positions at Westinghouse.

Mr. Weisse has a B.A. degree from the University of Massachusetts (Amherst) and a J.D. from the Rutgers School of Law.

John Famula

John Famula is the President and CEO of Filter Foam, Inc, a start-up manufacturing company based in Annapolis, Maryland.

John's career has spanned years of experience in operations, strategic planning, financial management, and executive management. He was founder and President of Wartsila Operations, Inc., a division of Wartsila Inc. that operated and managed power plant operations for one of the largest diesel manufacturing companies in the world. Under his leadership the operations company created a business strategy and quickly grew to operate 35 power plants with over a thousand employees in 16 countries, including plants in India, Asia, Africa, the Caribbean, and South America. John worked for Allied Signal (now Honeywell, Inc.) for 20 years with responsibilities for operations, strategic planning, and financial management. More recently John served as President of a Mid-Atlantic company that sold, installed and serviced boilers and other industrial capital equipment.

Mr. Famula has a B.S. in Electrical Engineering from the University of Notre Dame and a Masters degree in Management from Syracuse University.
